Terms of Service

1. Acceptance of Terms

By accessing or using Zenit (the “Platform”), operated by Zenit (“we”, “us”, “our”), you (“User”) agree to be bound by these Terms of Service (“Terms”), our Privacy Policy, and our Refund Policy. If you do not agree, you must not access or use the Platform.

These Terms constitute a binding legal agreement between you and Zenit under the Information Technology Act, 2000 and applicable Indian laws.

2. Description of the Platform

Zenit is an AI-powered marketing operating system designed for Indian brands and businesses. The Platform provides:

• AI-generated content ideas (Reels, Posts, Stories, Carousels) via the Brand Brain system
• Content calendar and team approval workflows
• Influencer discovery and campaign management tools
• Email marketing and advertising copy generation
• Website and Instagram analysis powered by AI
• Weekly AI-generated marketing strategy reports
• Creator Marketplace for influencers, photographers, and advertising vendors
• Multi-brand management for agencies

3. Eligibility

You must be at least 18 years of age and capable of entering into a legally binding contract under Indian law to use the Platform. By using Zenit, you represent and warrant that you meet these requirements and that all information you provide is accurate and complete.

4. Account Registration & Security

You must create an account to access most features. You are responsible for:

• Maintaining the confidentiality of your login credentials
• All activities that occur under your account
• Notifying us immediately at sanjanareddych14@gmail.com of any unauthorised access
• Ensuring your account information remains accurate and up-to-date

We reserve the right to suspend or terminate accounts that show signs of unauthorised access, abuse, or violation of these Terms.

5. Subscriptions, Credits & Billing

Access to AI-powered features requires a paid subscription. By subscribing, you agree to the following:

• Billing: Subscriptions are billed monthly or annually in Indian Rupees (INR) via Razorpay.
• Auto-renewal: Subscriptions auto-renew unless cancelled before the billing date.
• AI Credits: Each plan includes a monthly credit allowance that resets on your billing date. Credits are non-transferable between brands and expire at the end of each cycle.
• Credit limits: A soft warning is triggered at 80% usage. AI features pause when the monthly limit is reached.
• Plan changes: Upgrades take effect immediately; downgrades take effect at the next billing cycle.
• Creator Marketplace listing: Listing on the Creator Marketplace is free. Zenit earns a commission only on completed brand deals.

6. Brand Brain & AI-Generated Content

The Brand Brain is Zenit’s core AI system. When you configure a brand, you provide brand information (niche, tone, audience, weekly goal) that the AI uses to generate tailored content. You acknowledge that:

• AI-generated content is provided as a creative starting point, not guaranteed-accurate information.
• You are solely responsible for reviewing, editing, and approving all AI-generated content before publication.
• You own all content you generate using the Platform, subject to your subscription being active.
• We do not claim ownership over your generated content.
• Zenit uses OpenAI’s models to generate content — your brand data is processed in accordance with our Privacy Policy.

7. User Roles & Access Control

The Platform supports two roles:

• Owner: Full platform access including billing, brand management, and analytics across all brands.
• Brand Manager: Access limited to assigned brands — can generate content and run analyses but cannot manage billing or delete brands.

Approval links can be shared with external reviewers. These reviewers access a read-only view of specific idea batches and do not require an account.

8. Creator Marketplace

The Creator Marketplace allows influencers, photographers, and advertising vendors to list profiles for brand discovery. By listing on the Marketplace, you:

• Confirm that all information in your profile is accurate and truthful.
• Grant Zenit a non-exclusive licence to display your profile to brands on the Platform.
• Acknowledge that Zenit earns a commission on deals completed through the Platform.
• Agree that listing your profile is free and there are no upfront charges.

9. Prohibited Uses

You agree not to use the Platform to:

• Generate content that is unlawful, defamatory, obscene, or infringes third-party intellectual property rights.
• Impersonate any person or entity or misrepresent your affiliation.
• Reverse-engineer, scrape, or attempt to extract our AI models or proprietary systems.
• Resell or sublicence access to the Platform without our written consent.
• Violate any applicable Indian or international laws or regulations.
• Upload malicious code, spam, or conduct denial-of-service attacks.

Violation of these rules may result in immediate account suspension without a refund.

10. Intellectual Property

All platform design, branding, underlying code, AI models, and technology are the exclusive property of Zenit and are protected under Indian and international intellectual property laws. You may not copy, reproduce, or create derivative works without our express written consent.

Content you create using the Platform (captions, ideas, strategy reports) belongs to you. By using the Platform, you grant us a limited licence to process this content solely to provide the service.

11. Disclaimer of Warranties

The Platform is provided “as is” and “as available” without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that AI-generated content will be accurate, complete, or suitable for any specific purpose.

12. Limitation of Liability

To the maximum extent permitted by applicable law, Zenit shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising from your use of or inability to use the Platform, including loss of profits, data, or business opportunities, even if we have been advised of the possibility of such damages.

Our total aggregate liability to you for any claim arising from these Terms or your use of the Platform shall not exceed the amount you paid us in the three (3) months preceding the claim.

13. Indemnification

You agree to indemnify, defend, and hold harmless Zenit and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Platform, your content, or your violation of these Terms.

14. Termination

You may cancel your subscription at any time from your account settings. We reserve the right to suspend or terminate your account at any time if you violate these Terms, without notice and without liability.

Upon termination, your right to access the Platform ceases immediately. We may retain your data for a limited period as described in our Privacy Policy.

15. Governing Law & Disputes

These Terms shall be governed by and construed in accordance with the laws of India, including the Information Technology Act, 2000 and the Consumer Protection Act, 2019. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Hyderabad, Telangana, India.

16. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes via email or a prominent notice on the Platform. Continued use of the Platform after such changes constitutes your acceptance of the revised Terms.
